Draft — not yet reviewed by counsel. This document was drafted from how the site and business actually operate, but it has not had a legal review. Don't rely on it, and don't launch on it. Set reviewed: true in the document's frontmatter once it has been signed off.
These terms cover the working relationship between you and LocalStacked. They're written to be read, not to be survived.
1. Who these terms are between
"We" and "us" mean LocalStacked. "You" means the business engaging us. These terms apply from the moment you accept a proposal or we begin work, whichever comes first.
If you have signed a Client Agreement with LocalStacked LLC, that agreement and your Order apply to you instead of these terms.
2. What we provide
We provide local growth services — search optimisation, paid search management, website design and build, Google Business Profile management, review generation, and tracking and analytics. The specific services in your engagement are the ones named in your proposal.
We don't provide legal, accounting, or tax advice, and nothing we produce should be relied on as any of those.
3. Term and cancellation
Engagements are month-to-month. There is no minimum term and no long-term contract.
Either side may end the engagement with notice before the next billing date. If you have prepaid for a period you haven't used, we refund the unused months. Prepayment buys a discount, not a commitment.
4. Fees and billing
Fees are the ones stated in your proposal, billed monthly in advance unless agreed otherwise.
Advertising budget is separate from our fees. You pay Google directly for ad spend, from your own advertising account. It never passes through us and it is not part of what you pay LocalStacked.
We don't mark up ad spend. Our fee is the fee in your proposal. What Google charges you is what Google charges you, and you can see every dollar of it in your own account.
5. What you're responsible for
To do the work we need timely access to the accounts involved — your website, domain registrar, advertising accounts, analytics, and Google Business Profile — plus reasonable responsiveness on approvals, and accurate information about your business.
If access or approvals are delayed, timelines move accordingly.
6. Ownership
Everything we build for you is yours. Your website, your domain, your advertising accounts, your analytics data, and the content we produce for you remain your property during the engagement and after it ends. If we part ways, it all keeps working and it leaves with you.
We keep ownership of our own internal processes, templates, and tooling — the general methods we bring to every engagement, as distinct from the work product we make for you.
7. Confidentiality
Each side will keep the other's non-public business information confidential and use it only for the engagement.
8. No guarantee of results
Search rankings, advertising performance, and lead volume depend on your market, your competitors, and platform behaviour we don't control. We commit to the work, not to a specific outcome. See our Disclaimer for the detail.
9. Limitation of liability
To the fullest extent the law allows, our total liability arising out of the engagement is limited to the fees you paid us in the three months before the claim. Neither side is liable to the other for indirect or consequential losses, including lost profits.
10. Changes to these terms
We may update these terms. If a change is material, we'll tell active clients before it takes effect. The effective date at the top of this page always reflects the current version.
11. Governing law
These terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules.
